Jeremy Sorzano and Jason Webb are the founders of Soccer Shots Franchising LLC and have combined experience of nearly forty years operating soccer programs. From May 1996 until September 2003, Jeremy was a member of the USL Pro Charlotte Eagles in Charlotte, North Carolina and retired from the game of soccer in September 2003. Jeremy developed a youth soccer education program and curriculum, similar to the Soccer Shots Program, in June 1997 in Charlotte, North Carolina. From 1997 through 2013, he operated a Soccer Shots business in Asheville, North Carolina.

Prior Experience

Our parent. Stronger Youth Brands, LLC, a Pennsylvania limited liability company was formed on January 15, 2013. Its principal business address is 1020 South Eisenhower Blvd., Middletown, PA 17057. Stronger Youth Brands has never offered franchises or licenses in this business or in any other line of business. Our affiliate Soccer Shots IP LLC (“SS IP”), a Pennsylvania limited liability company was formed on March 10, 2016. It is a wholly owned subsidiary of our parent. Its principal place of business is 1020 South Eisenhower Blvd., Middletown, PA 17057. SS IP is the owner of the Marks and has licensed to us the right to use the Marks and in turn to sublicense to you the right to use the Marks. SP IP has never offered franchises or licenses in this business or in any other line of business. Our affdiate, COUS LLC, a Pennsylvania limited liability company was formed in October, 2013. Its principal business address is 1020 South Eisenhower Blvd., Middletown, PA 17057. Since January,7, 2014, COUS LLC has an ownership interest in and has operated 4 Soccer Shots businesses. COUS LLC has never offered franchises or licenses in this business or in any other line of business. We have no predecessors

Business Offered

Soccer Shots offers to qualified individuals, partnerships, corporations or other entities a franchise granting the right to establish and operate one Franchised Business within a defined Territory, which will consist of a population area of approximately 500,000 people. The borders of your territoiy will be defined by natural and artificial boundaries, including zip codes, county and town lines and rivers, in your local area. The "Franchised Business" is an elective youth soccer education program that teaches and promotes soccer and character development to children, primarily ages 2-8, at various locations, including childcare centers, preschools, parks and community centers, camps or after school or summer programs, as further defined in the Operations Manual. You will operate the franchise pursuant to a unique system ("System") and curriculum ("Prograni"), developed by Soccer Shots. The characteristics of the System include a license to use the Marks as described in this Disclosure Document for the operation of the Program; approved soccer equipment; procedures and techniques for marketing the Program and performing the Program; the Soccer Shots Operations Manual; website tools, including customer online registration ("Online Registration"); newsletter templates; and other confidential operations procedures, methods and techniques for record keeping and reporting, all of which may be changed, improved and further developed by us. Although we do not have any other significant business activities, we may develop additional programs for use by our franchises. Franchises may be required to offer such programs.

Initial Fees

Our Initial Franchise Fee for a Franchised Business is $34,500. The Initial Franchise Fee includes Initial Franchise Training, business cards, a dedicated web page at wvvw.soccershots.org. access to a technology platform and our issuance of our then-current start-up equipment and marketing package (“Initial Equipment Package”). Our Initial Equipment Package for new owners (which is subject to change) is listed on the Data Sheet to the Franchise Agreement

Financing

At this time, we do not offer any direct or indirect financing for your initial investment or the operation of your Franchised Business, except as set forth below, or guarantee your note or obligations to third parties. We are unable to estimate whether you will be able to obtain financing for all or any part of your investment. We cannot predict the terms of such financing.

Franchisee Revenue and Profit

The FTC's Franchise Rule permits a franchisor to provide information about the actual or potential financial performance of its franchised and/or franchisor-owned outlets, if there is a reasonable basis for the information, and if the information is included in the disclosure document. Financial performance information that differs from that included in Item 19 may be given only if; (1) a franchisor provides the actual records of an existing outlet you are considering buying; or (2) a franchisor supplements the information provided in this Item 19, for example, by providing information about possible performance at a particular location or under particular circumstances
