Prior Experience

We first began offerring franchises for the right to Operate a Franchised Business in the United States as of the Issue Date of this, Disclosure Document. We have not operated any businesses that are similar to the Franchised Business. We do not offer or Sell franchises in any other line of business and except as described in this Item, we are not otherwise engaged in any other business activity.

Business Offered

Your Franchised Business will be a quick casual restaurant that offers and serves a menu comprised primarily of sweet and savory Japanese-style crepes and an assortment of blended tea drinks, as. well as coffee and other menu items that we authorize as part of the “Approved Produets” that can be offered and sold at your Restaurant to customers in a clean, healthy and friendly environment. Many of the Approved Products must be prepared in accordance with our proprietary recipes, and certain of these recipes call for proprietary ingredients that we may require you to purchase from a supplier that we designate or approve (each, an “Approved Supplier”)

Initial Fees

You must pay us an initial franchise fee amounting to $35,000 (the “Initial Franchise Fee”) immediately upon execution of your Franchise Agreement, which will be deemed fully earned and non-refundable upon payment. Except as provided for in this Item, the Initial Franchise Fee is uniformly imposed.

Financing

We do not offer direct or indirect financing, nor do we guarantee your obligations.

Franchisee Revenue and Profit

We do not make any additional financial performance representations. We also do not authorize our employees or representatives to make any such representations either orally or in writing, If you are purchasing an existing Outlet, however, we may provide you with the actual records Of that Outlet.
