Corporate Structure
We are a Delaware corporation organized on January 1, 2007. Our principal business address is located at 89 Summers Way, Suite 103, Roanoke, Virginia 24019. Our agents to receive service of process are disclosed on Exhibit H to this Disclosure Document. We do business under the names “Western Sizzlin Steak & More,” “Western Sizzlin Express,” “Quincy’s Family Steakhouse,” “Western Sizzlin’s Wood Grill Buffet,” “Great American Buffet Restaurant,” and “Great American Steak & Buffet.”
Investment and Franchisee Fees
If you sign a Franchise Agreement for either a WS Restaurant or a WG Restaurant, the total investment necessary to begin operation of a restaurant is $1,061,000 to $4,500,000. This includes $30,000 that must be paid to the franchisor or affiliate. If you sign a Franchise Agreement for a franchised “express” WS Restaurant, the total investment necessary to begin operation of a restaurant is $451,000 to $965,000. This includes $30,000 that must be paid to the franchisor or affiliate. If you want development rights pursuant to an Area Development Agreement for either WS Restaurants or WG Restaurants, you must pay the franchisor the initial franchisee fee of $30,000 (the initial franchisee fee for the first Restaurant) plus $15,000 for each additional Restaurant. The minimum number of WS Restaurants or WG Restaurants to be opened under the Area Development Agreement is 2.
