We were incorporated in New York on January 5, 2010. Our principal business address is 20920 W Dixie Hwy, Aventura, FL 33180. We are a wholly owned subsidiary of our direct parent Aroma USA, Inc., a Delaware corporation formed on July 27, 2005 (“Aroma USA”). Aroma USA shares our principal business address. From March 2, 2007 until January 1, 2010, Aroma USA offered the franchises that are offered by this disclosure document. Aroma USA has never offered franchises in any other line of business and is not engaged in any other business activity.
Investment and Franchisee Fees
The total investment necessary to begin operation of an Aroma Espresso Bar ranges from $537,500 to $1,500,000. These totals include approximately $65,000 to $70,000 that must be paid to us or our affiliates. If you sign a Development Agreement, you must pay us a non refundable development fee equal to thirty percent (30%) of the initial franchise fee (currently, $55,000) for each Aroma Espresso Bar (minimum of 1) to be established under the Development Agreement. When you sign each Franchise Agreement, the allocable portion of the development fee is credited against the initial franchise fee that is due.
