Corporate Structure
We franchise the right to operate a KNOCKOUTS salon (“Salon”) using our proprietary business format and system (“System”) and intellectual property. KNOCKOUTS SALONS offer haircuts, hair coloring, waxing, massage therapy, facials, manicures, pedicures, and other related grooming services to both men and women, and also offer children’s haircuts. The Salons also sell hair care, grooming, and other related products. Our Salons operate under trade name and service mark “KNOCKOUTS” and other service marks, proprietary trademarks, trade names, logos, emblems and indicia of origin that we designate to identify Salons (“Marks”). See Item 13 for more information about our Marks.
Investment and Franchisee Fees
The total investment necessary to begin operation of a KNOCKOUTS franchise ranges from $180,000 to $245,590. This includes the $94,000 to $101,000 that must be paid to the franchisor or affiliate. If you are acquiring development rights under a development program, you will sign an area development agreement and pay a development fee equal to $22,500 for the first salon, plus $11,250 for each additional salon to be developed. For example, if you sign an area development agreement for three salons, you will pay us a development fee of $45,000 [$22,500 + [$11,250 x 2]].
