We are a California limited liability company formed on June 20, 2019 to franchise and administer businesses using the marks AÇAI REPUBLIC THE BRAZILIAN JUICE BAR and AÇAI REPUBLIC™ ("Cafe”). We do not do business under any other name and Our principal business address is 632 El Camino Real, #C, Tustin, California, 92780; Tel: (949) 524 8529. Our agents for service of process are listed on Exhibit E. We have offered franchises for Cafes since December 2019. We have never offered franchises in any other line of business. We do not have any other business activities. We do not have any predecessor or parent, but We are commonly owned with JP & AP Enterprises, LLC and Açai Republic Enterprises, LLC.

The estimated total investment necessary to begin operation of each franchise is $231,500 to $483,500. This includes the $25,000 initial franchise fee payable to the franchisor and $10,000 to $15,000 for initial inventory payable to an affiliate. If You are an Area Developer, You are required to pay Us a nonrefundable Development Fee equal to the Initial Franchise Fee for the first Required Cafe plus $10,000 for each additional Required Cafe. The total estimated investment necessary to begin operation of the first Required Cafe is $251,500 to $523,500. This includes the $45,000 to $65,000 payable to the franchisor and $10,000 to $15,000 for initial inventory payable to an affiliate.
