Business Description

We were organized in the State of Delaware on September 24, 2015. Our principal business address is 630 Peter Jefferson Parkway, Suite 200, Charlottesville, VA 22911 and we can be found on the Internet at http://www.ProLiftDoors.com. We do business only under our corporate name and the name “Pro-Lift Doors” and “Pro-Lift Garage Doors.” As of December 31, 2018, there were 18 Pro-Lift Doors franchises in the U.S. Our agents for service of process are listed in Exhibit B to this Diclosure Document. The name and address of our Agent for Service of Process in Delaware is: United States Corporation Agents, Inc., 300 Delaware Avenue, Suite 210-A, Wilmington, DE 19801.

Prior Experience

Chief Executive Officer: Paul Flick Mr. Flick has served as the Chief Executive Officer of Pro-Lift Doors Franchise, LLC at our headquarters in Charlottesville, Virginia since September 2015. Mr. Flick has also served as the Chief Executive Officer of Premium Service Brands, LLC at its headquarters in Charlottesville, VA since January 2015. Mr. Flick also serves as the Chief Executive Officer of our affiliated companies: 360 Painting, LLC, at its headquarters in Charlottesville, Virginia since its inception in April 2006; Maid Right, LLC, at its headquarters in Charlottesville, Virginia since April 2018; Kitchen Wise, LLC, at its headquarters in Charlottesville, Virginia since October 2019; and Handyman Pro, LLC, at its headquarters in Charlottesville, Virginia, since April 2018. President and Chief Development Officer: Greg Longe Mr. Longe serves as the President and Chief Development Officer of Premium Service Brands, LLC since September 2019. From April 2019 to September 2019, Mr. Longe served as Chief Executive Officer of British Swim School in Fort Lauderdale, Florida. Prior to that, Mr. Longe served as a Chief Operating Officer of Martinizing International, LLC in Berkley, Michigan from November 2014 through July 2015. Mr. Longe served as the President of Martinizing International, LLC's President from July 2015 through April 2019, the Chief Operating Officer of Huntington Company in Oradell, Michigan from November 2014 through April 2019, President of 1-800-DryClean in Ann Arbor, Michigan from March 2013 through April 2019, and the President of P4T (“pressed for time) in Berkley, Michigan from May 2014 to April 2019. VP of Franchise Development: Jeff Powell Mr. Powell has served as the VP of Franchise Development of Premium Service Brands, LLC since January 2019. From March 2018 to January of 2019, Jeff served as the Chief Development Officer for InXpress, LLC, a shipping and logistics franchise located in South Jordan, UT. Prior to that, from January 2011 to February 2018, he was the Franchise Recruitment Director and Vice President of Franchise Recruitment at InExpress, LLC. 10 Director of Training: Josh Hoffman Mr. Hoffmann is the Director of Training for Premium Service Brands, LLC and has been with Premium Service Brands, LLC since February 2018. Previously, Mr. Hoffmann worked for College Pro Painters in a number of positions since June 2012, which included being the Franchise Owner / Operator of the St. Charles, IL location as well as the Kansas City, MO location. VP of Franchise Development: Matt Reeves Mr. Reeves joined Premium Service Brands in November 2018 as Vice President of Franchise Development. From 2012 to 2017, he was Vice President of Development at Neighborly Brands in Waco, Texas. Mr. Reeves was also President of Development for Restoration 1 and Bluefrog Plumbing in 2017 and 2018, also in Waco, Texas. VP of Franchise Development: John McLellan Mr. McLellan has served as Vice President of Franchise Development of Premium Service Brands, LLC since October 2019. From 2011 to 2018, he was a franchise consultant with FranNet, which was based in Chicago, Illinois and is currently based in Detroit, Michigan. Vice President of Operations: David Raymond Mr. Raymond joined Premium Service Brands in July 2019 as Vice President of Operations. From October 2018 to June 2019, Mr. Raymond was Vice President of our affiliated, Pro-Lift Garage Doors in Charlottesville, Virginia. From February 2016 to October 2018, Mr. Raymond was President of DoorAbility Inc. in Tampa, Florida. Mr. Raymond was a Senior Franchise Business Consultant at College Hunks Hauling Junk and Moving from August 2015 to December 2018 in Tampa, Florida. He held various positions ending as the General Manager of Discount Garage Doors Inc., located in Tampa, Florida, from 2003 to 2015.

Business Offered

Pro-Lift Doors Franchise, LLC grants Unit Franchises to qualified individuals and business entities to establish and operate businesses in conjunction with the service mark “PROLIFT GARAGE DOORS” and certain other logos and trademarks (collectively referred to as the “Marks”).1 We refer to the Pro-Lift Doors business you will operate as a Unit Franchisee as the “Franchised Business” or “ProLift Doors Business.” We began offering franchises in September 2015. We do not offer and have not previously offered franchises in any other line of business. We do not operate any businesses like the Franchised Business except that Premium Service Brands owns two garage door businesses that operate similar businesses to the Franchised Business. Pro-Lift Doors Unit Franchises are businesses that provide garage door installation, maintenance and repair services. The prototypical Pro-Lift Doors Unit Franchise offers a full range of garage door services for residences and “light commercial” buildings. Each Pro-Lift Doors business must operate in accordance with our “System”. The distinguishing characteristics of the System include among other things, uniform standards and procedures for business operations and management; procedures and strategies for marketing, advertising and promotions, signage, vehicle wrapping, inventory and materials; methods and techniques for installing garage doors; methods and techniques for inventory and cost control; the Marks; the Operations Manual; uniform standards, specifications and procedures; record keeping, accounting, billing, collections and account management; all of which are designed to enhance the business and managerial aspects of the garage door business.

Initial Fees

Franchise Fee The franchise fee (“Franchise Fee”) for a Pro-Lift Doors Unit Franchise is $62,500 (which includes a $2,500 initial technology fee), which must be paid to us by bank wire transfer in one-lump sum upon signing the Franchise Agreement. Financing is also available (see Item 10). This fee is charged for a license to operate from one location in a specific residential territory called the “Protected Territory.” All initial fees described above are fully earned when paid and are not refundable under any circumstances. Based upon the franchisor's financial condition, the Maryland Securities Commissioner has required a financial assurance. Therefore, all initial fees and payments owed by franchisees shall be deferred until the franchisor completes its pre-opening obligations under the franchise agreement. The Virginia State Corporation Commission's Division of Securities and Retain Franchising requires us to defer payment of the initial franchise fee and other initial payments owed by franchisees to the franchisor until the franchisor has completed its pre-opening obligations under the franchise agreement. During our 2018 fiscal year, we offered a special incentive program for U.S. military veterans purchasing a new Franchised Business. Under this program, we offered honorably discharged veterans a 10% discount on the initial franchise fee. One franchisee took advantage of this discount.

Franchisee Revenue and Profit

The FTC's Franchise Rule permits a franchisor to provide information about the actual or potential financial performance of its franchised and/or franchisor-owned outlets, if there is a reasonable basis for the information, and if the information is included in the Disclosure Document. Financial performance information that differs from that included in Item 19 may be given only if: (1) a franchisor provides the actual records of an existing outlet you are considering buying; or (2) a franchisor supplements the information provided in this Item 19, for example, by providing information about possible performance at a particular location or under particular circumstances. We do not make any representations about a franchisee's future financial performance or the past financial performance of the company-owned or franchised outlets. We also do not authorize our employees or representatives to make any such representations either orally or in writing. If you are purchasing an existing outlet, however, we may provide you with the actual records of that outlet.
