Home Instead franchises the operation of a business providing home care services for seniors such as companionship, personal, and specialized services, including hospice and Alzheimer’s care for seniors (the “Franchised Business”) utilizing our unique and distinctive formats, systems, standards and procedures (the “System”) and identified by certain trademarks, domain names, service marks and other commercial symbols (the “Licensed Marks”). Home Instead is entering into master franchise/license agreements in selected foreign markets only. Currently we have master franchise agreements in Australia, Austria, China, Germany, Ireland, Italy, Japan, the Netherlands, New Zealand, Quebec, Switzerland, and the United Kingdom. We also have franchise agreements with individual franchisees in Canada. A Home Instead Senior Care Franchised Business provides an effective solution for seniors who prefer to remain at the home of their choice where their quality of life can be enhanced without the stress and hardships of interrupted routines and daily habits. The Home Instead Senior Care System utilizes a care concept comprised of a certain number of integral parts, all of which are necessary for a successful operation, and which are fully described in our confidential Operations Manual. A Home Instead Senior Care franchisee employs individuals who are trained to provide professional and reliable services to customers (each a “CAREGiverSM”). The services franchisees may offer to customers are specifically designated by Home Instead and may change at our discretion from time to time.
