SBT-USA offered and sold franchises for Signs By Tomorrow centers from 1987 to 2012. SBT-USA also offered franchises for American Signs By Tomorrow centers from 2002 to 2012.
Under this disclosure Document, we offer franchises for businesses; offering professional graphic solutions and related products and services under the Signs By Tpmofrow and Signs Now brands. If we want you a franchisei yOu will si our current form of franchise agreement, attached to this Disclosure Document as Eldiibit B (the “Franchise Agreement”). A “Signs By Tomorrow Center” is a. center operating under the Signs By Tomorrow Marks. A “Sighs Now Center” is a center Operating; under the Signs Now Marks. We currently grant franchises for Signs By Tomorrow Centers and Signs NOw Centers to 1. existing franchisees seeking to acquire a successor franchise for their Signs By Tomorrow Center or Signs Now Center; and 2. new or existing franchisees seeking to purchase ah existing. Signs By Tomorrow'Center or an existing Signs Now Center. Under our Franchise Agreement, you must operate a Signs By Tomorrow Center or Si^ Now Center at a designated location. You must use our distinctive business formats. Systems, methods, procedures, designs layouts, standards and specifications, all of which we may modify periodically (the “System”). You.also must usciour trademark, service marks, trade names, logos, trade dresses and other commercial symbols we designate periodically for your Designated Brand Concept (as herein described), - Your “Designated Brand Concept'^ is-a Signs By. Tomorrow: Gent or a Signs NoW Center, as applicable. If y on are acquiring an existing Center and convert it into an Image360 Center follovring conversion y our Designated Brand Concept will be an Image360 Center. Under our Franchise Agreement, We have the right to require you to modify or discontinue using the Signs By Tomorrow Marks or Signs Now Marks at any time, for any reason. If you are acquiring an existing By Tomorrow Center or Signs Now Center, we NviU exCTCise this fight to require that you transition the existing Signs By Tomorrow Center or Now Center into an Image360: Center within 12 months following the effective date of yOiir Franchise Agreement: An “Im£^e360 Crater” is a Center operating under the lmage360 Marks. We and our affiliates have an acquisition, program under which We provide services to existmg franchisees regarding the potential acquisition Of independent marketing and business communication services businesses and sign and graphics businesses. We and Our affiliates continue to offer this program to existing franchisees for the purchase of businesses which may be consolidated into the franchisee's existing; center, .Since 1995, our affiliate, Allegra Network, has assisted franchisees to complete more than 350 acquisitions.
